These Terms of Service (the "Terms") govern access to and use of the websites and the customer relationship management platform at app.dfwib.com (the "Platform") provided by DFW Insurance Brokers ("we", "us", "our"). By creating an account, accessing the Platform or clicking to accept, you agree to these Terms on behalf of yourself and any agency you represent. If you do not agree, do not use the Platform.
The Platform is a business tool intended for insurance agencies, agents and their staff. You must be at least 18 years old and authorized to bind the organization you represent. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account and the sub-accounts and users you create. Notify us promptly of any unauthorized access.
Access is sold on a subscription basis. The plan, price, billing period and any usage-based charges (for example telephone, messaging, email or AI credits) are those shown at signup or in your written order. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled, fees are billed in advance, usage charges are billed in arrears, and all amounts are in U.S. dollars and exclusive of taxes. Fees are non-refundable except where required by law. We may change pricing with at least thirty (30) days notice, effective at your next renewal. Failure to pay may result in suspension after notice.
You agree not to, and not to permit any user to:
You are solely responsible for obtaining and documenting the consent required to call, text or email the contacts in your account, and for complying with the Telephone Consumer Protection Act, CAN-SPAM, state telemarketing and do-not-call laws, carrier requirements and industry codes including A2P 10DLC registration and campaign rules. You must honor STOP, HELP and unsubscribe requests, identify yourself in your messages, and respect quiet hours.
We may suspend messaging, block content, or terminate accounts that generate excessive complaints, carrier violations or filtering, and we may pass through any carrier or provider fines, fees or penalties caused by your use.
The Platform is software. It is not an insurance carrier, agency, broker or advisor, and nothing in it constitutes insurance, legal, tax or financial advice. Quotes, rates, coverage summaries, forms and calculations shown in the Platform, including any produced by integrated quoting engines or AI features, are estimates for convenience only and do not bind coverage. Only a carrier can bind coverage, and the policy documents issued by the carrier control. You remain responsible for your licensing, appointments, continuing education, suitability determinations, disclosures and errors-and-omissions coverage.
Some features use third-party artificial intelligence models to draft text, summarize calls, transcribe recordings or suggest next steps. AI output can be inaccurate or incomplete. You are responsible for reviewing any AI-generated content before sending it to a client, submitting it to a carrier, or relying on it for a business decision.
As between you and us, you own the contact records, documents and other content you or your users put into the Platform ("Your Data"). You grant us a non-exclusive license to host, process, transmit, back up and display Your Data solely to provide and support the Platform, to prevent abuse, and as required by law. You represent that you have the rights and consents necessary for us to process Your Data. We may use aggregated, de-identified information that does not identify you or any individual to operate and improve our services. Our handling of personal information is described in our Privacy Policy.
The Platform integrates with third-party services such as telephony and messaging providers, email delivery services, calendars, e-signature tools, quoting engines, carrier portals and payment processors. Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, acts or omissions. Enabling an integration authorizes the exchange of data described at the time of connection.
We and our licensors retain all rights in the Platform, including its software, templates, snapshots, automations, documentation and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform during your subscription for your internal business purposes. Feedback you provide may be used by us without obligation to you.
Each party will protect the other's non-public business information with at least reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law.
You may cancel at any time, effective at the end of your current billing period. We may suspend or terminate access immediately for non-payment after notice, for a material breach of these Terms, for conduct that creates legal or security risk, or if required by a provider or regulator. On termination, your right to use the Platform ends. You may export Your Data during your subscription and for thirty (30) days after termination, after which we may delete it, subject to our retention obligations and backup cycles.
We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages, carrier issues and events beyond our reasonable control may interrupt access. Unless a separate written service level agreement applies, no credits or refunds are provided for downtime.
Except as expressly stated in these Terms, the Platform is provided "as is" and "as available", and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Platform will be error free, secure, or that it will meet your requirements or produce particular results.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption, even if advised of the possibility. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid us for the Platform in the twelve (12) months before the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnity obligations, or liability that cannot be limited by law.
You will defend, indemnify and hold us harmless from third-party claims, damages, fines and reasonable attorneys' fees arising out of Your Data, your use of the Platform, your messaging and marketing practices, your insurance activities, or your breach of these Terms or of applicable law.
We may modify the Platform and these Terms. Material changes to these Terms will be posted here with an updated date and, where practical, notified through the Platform or by email at least fifteen (15) days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas, and each waives any objection to venue there. Before filing, the parties will attempt in good faith to resolve the dispute through direct discussion for thirty (30) days.
These Terms, together with any written order and our Privacy Policy, are the entire agreement between the parties regarding the Platform. If any provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent, except in connection with a merger or sale of substantially all assets. No waiver is effective unless in writing. Notices to us may be sent to the address below.
